Company formation

We help you choose the legal form best suited to your project (SARL, single-member SARL, SA, SAS, branch of a foreign company…) and draft articles of association that truly protect your interests: capital allocation, manager's powers, decision rules, approval and exit clauses.

We coordinate the incorporation formalities: name certificate (certificat négatif), capital deposit, registration, entry in the trade register and tax identifiers.

Corporate life

  • General meetings, approval of accounts and minutes
  • Capital increases and reductions
  • Appointment and removal of directors
  • Amendments to the articles and transfer of registered office

Partners and investors

A carefully negotiated shareholder agreement prevents most disputes. We draft shareholder agreements and share transfer deeds, and assist with fundraising and the entry of new investors, including foreign investors.

Restructuring

Mergers, demergers, partial asset contributions, change of legal form, dissolution and liquidation: we secure these operations legally, working alongside your accountants.

Shareholder disputes

Deadlock, abuse of majority or minority, directors' liability, challenges to general meetings: we defend your rights before the commercial court and, where possible, seek a negotiated exit.

Frequently asked questions

SARL or SA: which should I choose?

The SARL suits most small and medium-sized businesses: it is simple to run and partners' liability is limited to their contributions. The SA is better suited to projects planning to open their capital to investors. The right choice depends on your project.

Can a foreigner set up a company in Morocco?

Yes. A foreign investor can set up and own a company in Morocco. Some activities are regulated and specific formalities apply to non-resident partners; we review them with you.

Why sign a shareholder agreement?

The articles of association do not cover everything. A shareholder agreement organises relations between partners: decision-making, entry and exit of a partner, non-compete and deadlock resolution. It prevents many costly disputes.

How long does it take to set up a company?

It depends on the legal form and how quickly the documents are gathered. Once the file is complete, the formalities can be completed within a few days to a few weeks.
